KEY TERMS
• Valid until: 01 March 2026
• Commission: 10% of gross income
• Scope: 9 MLS Clubs (exclusive)
• Governed by FIFA FFAR 2023
PREAMBLE
This Agreement is concluded in accordance with the FIFA Football Agent Regulations (FFAR 2023). The Agent is duly licensed by FIFA and entitled to represent Players in employment-related and transfer-related matters.
ARTICLE 1 – SCOPE OF REPRESENTATION
1.1 The Player appoints the Agent as his exclusive representative for all employment and transfer negotiations with the following clubs in Major League Soccer (MLS) on behalf of the Player:
- FC Dallas
- San Jose Earthquakes
- Houston Dynamo
- Philadelphia Union
- Nashville SC
- Cincinnati FC
- Los Angeles Galaxy
- Los Angeles FC
- Chicago Fire
1.2 The representation covers:
- Negotiation and conclusion of employment contracts with the clubs listed in Article 1.1.
- Negotiation and conclusion of transfer agreements between clubs.
- Endorsement, sponsorship and commercial agreements only if expressly authorized in writing by the Player.
1.3 The Player confirms that he has not appointed, and shall not appoint, any other agent for the same scope during the validity of this Agreement.
ARTICLE 2 – TERM AND RENEWAL (PERFORMANCE-BASED)
2.1 This Agreement commences on the date of signature and remains valid until 01 March 2026, unless terminated earlier under Article 8.
2.2 Performance-Based Renewal (Three Stages):
This Agreement may be renewed for up to two (2) additional years, in accordance with Article 11(5) FFAR 2023, if any of the following apply during the initial term:
- Stage 1 – Contract Conclusion: If the Agent facilitates the conclusion of a professional employment contract for the Player with any of the clubs listed in Article 1.1.
- Stage 2 – Letter of Interest: If the Player receives an official Letter of Interest or written expression of intent from any of the clubs listed in Article 1.1 as a result of the Agent's work.
- Stage 3 – Formal Offer: If the Agent secures an official contract offer, trial invitation, pre-contract or salary proposal for the Player from any of the clubs listed in Article 1.1.
2.3 Any of the above stages constitute a successful representation outcome and trigger the option to extend this Agreement for up to two (2) additional years, upon mutual written confirmation and re-registration on the FIFA Agent Platform.
2.4 If none of the above occur, this Agreement expires automatically on 01 March 2026 without further obligations.
ARTICLE 3 – REMUNERATION
3.1 The Player pays the Agent a commission of ten percent (10%) of gross income from any employment contract or transfer agreement resulting from the Agent's services under this Agreement.
3.2 The commission shall be calculated on the Player's gross remuneration, including but not limited to: base salary, signing bonuses, performance bonuses, and any other financial benefits directly related to the employment contract.
3.3 Payments shall follow FIFA and relevant national association rules and may be processed via the FIFA Clearing House in accordance with FIFA regulations.
3.4 No third-party payments are permitted. All payments must be made directly between the contracting parties or via the FIFA Clearing House.
ARTICLE 4 – REGISTRATION
4.1 This Agreement shall be uploaded and registered on the official FIFA Agent Platform within ten (10) days of signature by both parties.
4.2 The Agent is responsible for ensuring proper registration and compliance with all FIFA platform requirements.
ARTICLE 5 – AGENT'S OBLIGATIONS
5.1 The Agent shall:
- Act in good faith and in the best interest of the Player at all times.
- Avoid any conflicts of interest in accordance with FIFA FFAR 2023.
- Comply with all applicable FIFA regulations, national association rules, and relevant laws.
- Maintain full transparency in all negotiations and financial matters.
- Inform the Player promptly of all material developments, offers, and opportunities.
- Maintain confidentiality of all information obtained during the representation.
- Not represent any conflicting interests without prior written consent of the Player.
ARTICLE 6 – PLAYER'S OBLIGATIONS
6.1 The Player shall:
- Provide accurate and complete information to the Agent.
- Cooperate in good faith with the Agent in all representation matters.
- Not appoint any other agent for the same scope covered by this Agreement during its validity.
- Immediately inform the Agent of any direct contact, offers, or approaches from clubs listed in Article 1.1.
- Not negotiate directly with any clubs listed in Article 1.1 without the Agent's involvement.
- Provide all necessary documentation for registration on the FIFA Agent Platform.
ARTICLE 7 – CONFIDENTIALITY
7.1 All negotiations, terms, and information exchanged between the parties are strictly confidential.
7.2 Neither party shall disclose confidential information to third parties except where:
- Disclosure is legally required by courts, regulatory authorities, or FIFA;
- Disclosure is necessary for the performance of this Agreement;
- Prior written consent has been obtained from the other party.
ARTICLE 8 – TERMINATION
8.1 This Agreement may be terminated:
- By mutual written consent of both parties;
- For just cause as defined in FIFA FFAR 2023;
- Upon expiry of the term stated in Article 2.1;
- For material breach by either party after fourteen (14) days' written notice without remedy.
8.2 Termination does not affect any commission rights that have accrued prior to the termination date.
8.3 Upon termination, both parties shall cooperate in updating the FIFA Agent Platform accordingly.
ARTICLE 9 – DISPUTE RESOLUTION
9.1 Any dispute arising from or in connection with this Agreement shall be submitted to the FIFA Football Tribunal (Dispute Resolution Chamber) in accordance with FIFA FFAR 2023.
9.2 Decisions of the FIFA Football Tribunal may be appealed to the Court of Arbitration for Sport (CAS) in Lausanne, Switzerland.
9.3 Prior to submitting any dispute to FIFA, the parties agree to attempt good faith negotiations to resolve the matter amicably.
ARTICLE 10 – GOVERNING LAW
10.1 This Agreement is governed primarily by the FIFA Football Agent Regulations (FFAR 2023) and other applicable FIFA regulations.
10.2 Subsidiarily, Swiss law shall apply to any matters not covered by FIFA regulations.
ARTICLE 11 – MISCELLANEOUS
11.1 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
11.2 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior arrangements, understandings, or agreements.
11.3 Amendments: Any amendments or modifications to this Agreement must be made in writing, signed by both parties, and registered on the FIFA Agent Platform.
11.4 Language: This Agreement is executed in English. In case of any translation, the English version shall prevail.
11.5 Compliance: Both parties acknowledge that they have read and understood the FIFA Football Agent Regulations (FFAR 2023) and agree to be bound by them.

Important Notice: This cooperation arrangement does not create any contractual rights or obligations for the Player. The Player's sole contractual counterparty under this Agreement remains the licensed FIFA Agent, Mr. Alper Kinali (License: 202411-9167). TTMIB acts solely as a support network and has no direct representation rights over the Player.
Digital Signature Validity: Digital signatures executed via this platform or through Adobe Fill & Sign, Smallpdf eSign, or similar electronic signature services are legally valid and binding under the eIDAS Regulation (EU), the ESIGN Act (USA), and applicable international electronic signature laws. Both parties acknowledge that electronic signatures have the same legal effect as handwritten signatures.

PREAMBLE
